Terms of Use

These Terms of Use ("Terms") form a legal agreement between you and Futureflare Technologies LLP ("Futureflare", "we", "our", or "us"), the operator of ping-browser.com (the "Site") and of Ping Browser (the "Product"). By accessing the Site, downloading or using the Product, or otherwise using our services, you agree to these Terms. If you do not agree, please do not use the Site or the Product.
1. About these Terms
These Terms cover the Site and the Product as made generally available. Where you license the Product under a separate written agreement, that agreement governs your use of the Product and prevails over these Terms to the extent of any conflict. Additional terms may apply to specific features and are incorporated by reference where shown.
2. About Ping Browser
Ping Browser is a managed browser made available to organisations under a separate commercial agreement. An older open source build is available at ping-browser.com/Download; that build is no longer actively maintained, is provided on an "as is" basis, and is governed by the open source notices it ships with.
3. Eligibility
You must be at least 18 years old to use the Site or the Product. By using either, you represent that you have the legal capacity to enter into these Terms, and where you are acting for an organisation, that you have authority to bind it.
4. Licence
Subject to your compliance with these Terms, we grant you a personal, limited, non exclusive, non transferable, revocable licence to use the Site and to use the Product as expressly permitted under the applicable distribution or your agreement with us. All other rights are reserved. You may not:
- sublicense, sell, lease, or rent your access to the Product;
- modify, decompile, disassemble, or reverse engineer the Product, except to the extent permitted by applicable law;
- remove or alter notices, branding, or attribution;
- use the Product to develop a competing browser product.
5. Acceptable use
- do not use the Site or the Product to break the law or infringe the rights of others;
- do not interfere with, overload, or disrupt our services or infrastructure;
- do not circumvent security or access controls, or probe for vulnerabilities outside of a process we authorise in writing;
- do not scrape, crawl, or copy content other than as a normally behaving search engine crawler;
- do not send unsolicited communications, distribute malware, or facilitate fraud through the Product;
- do not misrepresent your identity or affiliation.
6. Intellectual property
The Site and the Product, including software, designs, text, and graphics, are owned by Futureflare or its licensors. "Ping Browser" is a trademark of Futureflare Technologies LLP (application filed). You may not use our trademarks, logos, or brand assets without our prior written consent, except for nominative or fair use permitted under applicable law.
7. Privacy
Our handling of personal information is described in our Privacy Policy. By using the Site or the Product you acknowledge that Policy.
8. Disclaimers
To the maximum extent permitted by law, the Site and the Product are provided on an "as is" and "as available" basis, with all faults and without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, accuracy, and non infringement. We do not warrant that the Site or the Product will be uninterrupted, error free, or secure.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms, the Site, or the Product will not exceed the greater of (a) the amount you have paid to us for the Product in the twelve months preceding the event giving rise to the liability or (b) one hundred United States dollars (USD 100). Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, fraud, or wilful misconduct.
10. Indemnification
You agree to indemnify and hold harmless Futureflare and its partners, employees, and agents from and against any third party claims, liabilities, damages, and reasonable expenses (including legal fees) arising out of your breach of these Terms, your misuse of the Site or the Product, or your violation of any law or the rights of any third party. This obligation does not apply to claims caused by our gross negligence or wilful misconduct.
11. Termination
You may stop using the Site and the Product at any time. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if continuing to provide service would expose us or others to material risk. Sections that by their nature should survive termination will survive.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the effective date and, where appropriate, give notice on the Site or by other reasonable means. Your continued use after the changes take effect constitutes acceptance.
13. Governing law and venue
These Terms and any dispute arising out of them are governed by the laws of India, without regard to conflict of laws principles. Subject to section 14, the courts at New Delhi, India have exclusive jurisdiction over any disputes.
14. Dispute resolution
Before starting any formal proceeding, please first try to resolve the dispute by writing to [email protected] and giving us thirty days to respond. If the dispute is not resolved within that period, it may be brought before the courts in section 13.
15. Grievance redressal (India IT Rules, 2021)
The Grievance Officer designated under the Information Technology Act, 2000 and the rules made under it, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, is Uday Bansal, reachable at [email protected]. We acknowledge grievances within 24 hours and aim to resolve them within 15 days of receipt.
16. Copyright and takedown notices
If you believe content available through the Site or the Product infringes your copyright, send a written notice to [email protected] that includes: sufficient details to identify the copyrighted work; evidence that you are the owner or exclusive licensee; the location of the allegedly infringing material; the identity of the person responsible, if known; your name, address, and contact details, with a good faith statement that the use is not authorised; and a statement confirming the accuracy of the notice.
On receipt of a complete notice, we will review it and, where appropriate, act within a reasonable time, consistent with the Information Technology Act, 2000 and the rules made under it. We may pass the notice and your contact details to the uploader so they can submit a counter notice.
17. Open source notices
The open source build at ping-browser.com/Download is distributed under the open source notices included within that build, and the relevant source repositories are at https://github.com/ping-browser. The current commercial Product also includes open source components, and the applicable notices are provided within that distribution.
18. Miscellaneous
- Severability. If any part of these Terms is unenforceable, the rest remain in effect.
- Entire agreement. These Terms, together with the Privacy Policy and any separate written agreement covering the Product, are the entire agreement between you and us.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a corporate reorganisation, merger, or sale of substantially all of our assets.
- Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control.
- No waiver. Our failure to enforce a provision is not a waiver of it.
